LICENSE AGREEMENT

for Access to the finQbit Platform (SaaS)

§1. General provisions

  1. This Free License Agreement (“Agreement”) sets out the terms and conditions for free access to and use of the finQbit platform provided as Software as a Service (“Platform”).
  2. The Platform is provided by finQbit P.S.A., with its registered office in Poland (“Licensor”).
  3. The Agreement is concluded at the moment the User accepts its terms during the account registration process.

§2. Scope of the license

  1. The Licensor grants the User a non-exclusive, non-transferable and free-of-charge license to use the Platform solely within the scope of the functionalities made available under the free access plan.
  2. The Platform may be used only for the User’s internal purposes, including educational, testing, research or demonstration purposes.
  3. The license does not authorize the User to:
    • copy, modify, reverse engineer or decompile the Platform,
    • make the Platform available to third parties,
    • use the Platform for commercial, production, or regulatory purposes.

§3. Intellectual property

  1. All intellectual property rights to the Platform, including but not limited to software code, algorithms, computational models and documentation, remain the exclusive property of the Licensor.
  2. Nothing in this Agreement shall be construed as transferring any intellectual property rights to the User.

§4. Experimental nature and no warranty

  1. The Platform made available under the free access plan may have an experimental or test nature.
  2. The Licensor makes no warranties, in particular regarding:
    • uninterrupted or error-free availability of the Platform,
    • accuracy, completeness or correctness of results,
    • fitness of the Platform for any particular purpose.
  3. The Platform does not constitute financial, investment, legal or regulatory advice.

§5. Liability

  1. The User uses the Platform at their own risk.
  2. To the maximum extent permitted by applicable law, the Licensor shall not be liable for any direct or indirect damages arising out of or in connection with the use of, or inability to use, the Platform.

§6. User account and data

  1. The User is responsible for the data entered into the Platform and for maintaining the confidentiality of their account credentials.
  2. The Licensor may use aggregated and anonymized statistical data generated through the use of the Platform for product development and improvement purposes.

§7. Term and termination

  1. The Agreement is concluded for an indefinite period.
  2. The Licensor reserves the right to:
    • limit, modify or discontinue the free access to the Platform,
    • change the scope of available functionalities,
    • terminate this Agreement at any time.
  3. The User may stop using the Platform at any time.

§8. Governing law and final provisions

  1. The Licensor may amend this Agreement by informing Users via the Platform or e-mail.
  2. This Agreement shall be governed by and construed in accordance with the laws of the Republic of Poland.
  3. Acceptance of this Agreement is a prerequisite for creating an account and using the Platform.

§9. Open-source software

The Platform may include or depend on third-party open-source software components (“Open-Source Software”). Open-Source Software is licensed to the User under the terms of the applicable open-source licenses, including but not limited to BSD, MIT, or Apache License 2.0. A current list of Open-Source Software components used in the Platform, together with applicable license notices, is made available by the Licensor via a dedicated page on the Platform or the Licensor’s website. Nothing in this Agreement shall limit, modify or supersede the terms of any applicable open-source license. In the event of any inconsistency, the terms of the applicable open-source license shall prevail with respect to the relevant Open-Source Software. The Licensor does not provide any warranty or liability beyond what is required under the applicable open-source licenses with respect to Open-Source Software.
